Critiview is a digital platform that helps consumers find verified and trusted local businesses near them in Nigeria and Africa. A publicly accessible online review platform designed to connect businesses and consumers, promoting trust and encouraging collaboration.

When we refer to "our platform," we mean the Critiview.com review platform as well as any other subdomains, subdirectories, or comparable platforms, websites, or mobile applications that we run and make available to you.

We ask that you read these terms of use (henceforth referred to as the "terms") before using our platform so that you are aware of what is expected of you and what you may anticipate from us. The following rules, regulations, and policies are referred to by these phrases, and they also govern how you use our platform:

• Our Privacy Policy details the information we gather about you when you use our platform.

• Publications of our codes, operational procedures, and policies.

• (a) by using our platform to browse, access, search, write reviews, or in any other way; or

You must accept these conditions in order to understand your legal rights and obligations, regardless of whether you only want to browse and search for companies or reviews on Critiview or if you want to write a review yourself. You must always accept these conditions in order to use our site and have access to it. Therefore, you must not access or use our platform at any time if you disagree with these conditions or find it impossible to comply with them. To be clear, these terms will apply to all of your usage of our site.

By completing one or more of the following, you consent to these terms:

• Our Privacy Policy details the information we gather about you when you use our platform.

• Publications of our codes, operational procedures, and policies.

• (a) by using our platform to browse, access, search, write reviews, or in any other way; or

Joining and using Critiview

We explain below how to access and use our platform.

• 1. You and Critiview: When we say “you” or “your”, we mean the person browsing, accessing, searching, writing a review, or otherwise using our platform. When we say “Critiview”, “we”, “our” or “us”, we mean the Critiview entity that you contract with under these terms, which depends on where in the world you are accessing our platform from.Our Privacy Policy details the information we gather about you when you use our platform.

• 2. Third-party products and services: We may use, present to you and/or link to third-party technology, products and/or services on our platform . We do not endorse or make any guarantee or promise, and do not assume any responsibility for any such third-party technology, products and/or services. Please note that we can’t guarantee that our platform will be compatible with your browser, network, or computer set-up.

• User account: In order to leave a review, comment on, like or flag a review and/or take any other action on our platform (except browsing), you must first create a user account. You are only permitted to create one user account. Your user account is personal to you and must not be transferred to anyone else.

• Derogatory, harmful, hateful, discriminatory, defamatory, obscene or illegal; the term guest, admin or any username that has a domain extension.

• Attributes that are owned by a third party or someone else, like someone else's name.

• You should not allow any other person to access or use your user account and you should not share your login details, including your email address and verification code, with anyone else. If you suspect any of your user account login details have been stolen or misused then let us know immediately by contacting us using this email support@critiview.com

• You promise that you’ll keep all information connected with your user account (including your email address) up to date and complete. If you would like to change your username, then you can do this yourself by logging into your user account.

• You’re responsible for all activity connected with your user account, including any reviews, all comments and any user generated content.

• You may also choose to verify your identity by following the quick and easy steps on our platform. During the verification process, you’ll be asked to select a photo ID, take a picture of your chosen ID and take a selfie. Your information is handled safely and securely, as explained in our Privacy Policy.

• You alone are responsible for Your Content, and once posted to Critiview, it cannot always be withdrawn.

• You assume all risks associated with Your Content, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose.

• You represent that you own or have the necessary permissions to use and authorize the use of Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by Critiview.

• You may expose yourself to liability if, for example, Your Content contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; violates or advocates the violation of any law or regulation; or violates these Terms.

• You agree to use our platform only in line with our terms.

• You must be over the age of 18 years old.

• You must not undermine the security or integrity of our platform.

• You must not use our platform in any way that might impair its functionality or interfere with other people’s use.

• You must not introduce or upload anything to our platform that includes a virus or other malicious code.

• You must not write, submit or be involved in the procurement of fake reviews. By fake reviews, we mean reviews that don’t reflect a genuine service or buying experience with a business, or reviews that have been left in an attempt to manipulate consumer perception, or negatively target a particular business.

• You must not do anything that might be misleading, offensive, violates any law, infringes on the rights of others, or does not comply with our Guidelines for Reviewers and our policies.

• You must not modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code of any part of our platform.

• You must not act in a manner that is abusive or disrespectful to a Critiview employee, partner, customer, or other users of the platform. We will not tolerate any abuse or bullying of our Critiview employees in any situation and that includes interaction with our support teams.

• You must not write reviews which are of a marketing nature and/or use our platform for marketing purposes, including in relation to yourself, or any services, products and/or businesses.

• You must not use our platform for the purposes of developing or providing any service or functionality which competes with our platform.

In order to create a user account you you have to create a Critiview account by registering. To register, you will provide us with certain information such as your email, first name, last name, business name and phone number and we may seek to verify your information, (by ourselves or through third parties), after which we will approve your account unless deemed risky. You give us permission to do all these.

Additionally, you must select a username that will appear on the platform anytime you write a review, leave a comment on a review, or publish user-generated content—that is, any image, review, or other piece of content created or submitted by you—on the platform ("user generated content"). Your username enables other people to recognize you. Recall that using your actual name as your login has the potential to identify who you are. The following cannot be in your username:

Our Policies and Guidelines for Reviewers: You are required to respect and abide by our policies and guidelines when you use our platform. We reserve the right to amend and modify our policies and guidelines at any time without providing you with prior notice. Any changes we do make will take effect right away and won't require your further approval, affirmation, or action.

What We (Critiview) Own and What you own as our user(s): You are the owner of Your Content as between you and Critiview. The Critiview Content is all owned by us, with the exception of Your Content, User Content, and Third Party Content. This includes visual interfaces, interactive features, graphics, design, compilation (which includes, but is not limited to, our selection, coordination, aggregation, and arrangement of User Content and other Service Content), computer code, products, software, aggregate star ratings, and all other elements and components of the Service. In addition, we are the global owners of all copyright, trade dress, patent, trademark, and service mark protections, as well as other intellectual and proprietary rights connected to the Critiview Content and the Service., and legislation pertaining to trade secrets, as well as any other relevant laws and intellectual property rights. Therefore, unless we specifically grant you permission, you are not permitted to sell, license, copy, publish, edit, reproduce, distribute, make derivative works or adaptations from, publicly display, or use or exploit any of the Critiview Content in any other way, in whole or in part. We do not offer you any implied or express rights, and we maintain all ownership rights to the Service and the Critiview Content, save as expressly and clearly stated above.

Feedback: We appreciate any feedback, ideas and suggestions from you about our ][platform (“feedback”) and may use it forever without restriction or payment to you. To be clear, this means that if you provide any written content or feedback to us, we can use, quote and/or refer to that content or feedback at our discretion.

Neutrality: We appreciate that you use our platform to explore, share, listen to, and learn about the companies we represent by acting as an online middleman. You must always adhere to our Guidelines for Reviewers and only submit user-generated information that is honest and objective when utilizing our site.

Advertising: Ads, sponsored content, and other information may be openly shown by Critiview and its licensees next to or associated with Your Content. For these adverts, you are not entitled to receive payment. Without giving you prior notice, the form, scope, and mode of such advertising are subject to change.

Privacy and Data Use

We explain below what data we collect when you use our platform and how this is handled.

Personal data: Personal data we collect about you in connection with your use of our platform will be handled by us in accordance with our Privacy Policy

Confidential information: We take reasonable precautions to protect your confidential information and expect that you’ll do the same for ours.

Keeping it confidential: While using our platform, you may share confidential information with us, and you may become aware of confidential information about us. You and we both agree to take reasonable steps to protect each other’s confidential information from being accessed by unauthorised individuals, entities or other third-parties, except to the extent we share this with our affiliates (that is, any companies that we are connected to (“affiliates”) and/or you provide feedback which shall not constitute confidential information.

Termination and Suspension

We explain below when your access to our platform can be terminated or suspended.

Our rights: We may terminate or suspend your access to your user account immediately or filter user generated content if you breach or threaten to breach any of these terms, our Guidelines for Reviewers and/or our policies.

Your rights: You may choose to delete your user account at any time, and in doing so you will no longer be able to leave reviews on our platform and all of your reviews will be deleted on our platform.

Suggestions and Improvements

By sending us any ideas, suggestions, documents or proposals (“Feedback”), you agree that

• (i) your Feedback does not contain any third party confidential or proprietary information,

• (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback,

• (iii) we may have something similar to the Feedback already under consideration or in development, (iv) we have no obligation to review, consider, or implement the Feedback, or to return to you all or part of the Feedback, and

• (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide, assignable, sublicensable, transferable license to use, modify, prepare derivative works of, publish, distribute and sublicense the Feedback, and you irrevocably waive, and cause to be waived, against Critiview and its users any claims and assertions of any moral rights contained in such Feedback.

Disclaimer and Liability

These sections are important as they outline responsibility and liability between us and you, so we urge you to read them closely and in full.

WE ONLY HAVE TO REPORT TO YOU FOR REASONABLE LOSSES AND DAMAGE THAT WE DIRECTLY CAUSED. IN THE EVENT THAT WE DO NOT AGREE TO THESE TERMS, WE WILL ONLY BE LIABLE FOR YOUR PROVENABLE LOSS AND DAMAGE.
